These Terms of Service ("Terms") govern your access to and use of the websites, platforms, software products, and related services (collectively, the "Services") provided by Radix IoT, LLC ("Radix IoT," "we," "us," or "our"). Our Services include the Mango IoT/SCADA platform, errProof execution governance software, and all associated documentation, APIs, and support resources. By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

1. Acceptance of Terms

By accessing our website, creating an account, downloading software, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

You must be at least 18 years of age to use the Services. By using the Services, you represent that you meet this requirement. If you have entered into a separate written agreement with Radix IoT for the use of specific products or services (such as a Master Services Agreement or Software License Agreement), the terms of that agreement will control to the extent they conflict with these Terms.

2. Use of Service

Subject to your compliance with these Terms, Radix IoT grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not constitute a sale or transfer of ownership of any software, intellectual property, or other materials. All rights not expressly granted herein are reserved by Radix IoT.

Account Responsibilities. If you create an account to access the Services, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Radix IoT immediately at legal@radixiot.com if you become aware of any unauthorized use of your account. Radix IoT is not liable for any loss or damage arising from your failure to safeguard your account information.

Acceptable Use. You agree not to use the Services for any purpose that is unlawful or prohibited by these Terms. Without limiting the foregoing, you agree not to:

  • Use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party's use of the Services.
  • Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks connected to the Services.
  • Use any automated means, including bots, scrapers, or crawlers, to access the Services or collect data from the Services without prior written consent from Radix IoT.
  • Transmit any viruses, malware, or other harmful code through or to the Services.
  • Use the Services to violate any applicable local, state, national, or international law or regulation.
  • Misrepresent your identity or affiliation with any person or organization when using the Services.

3. Intellectual Property

All content, features, functionality, software, designs, text, graphics, logos, trademarks, and other materials available through the Services (collectively, "Radix IoT Content") are owned by Radix IoT, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. The Mango name and logo, errProof name and logo, Radix IoT name and logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Radix IoT or its affiliates. You may not use these marks without the prior written permission of Radix IoT.

Your use of the Services does not grant you any ownership interest in the Radix IoT Content or the Services. Any feedback, suggestions, or ideas you provide to Radix IoT regarding the Services may be used by Radix IoT without restriction or compensation to you.

Restrictions

Except as expressly permitted by a separate written agreement with Radix IoT, you shall not:

  • Copy, reproduce, distribute, publish, display, or transmit any Radix IoT Content or software, in whole or in part, in any form or by any means.
  • Modify, translate, adapt, or create derivative works based on the Services, Radix IoT Content, or any underlying software.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of any software provided as part of the Services.
  • Sublicense, resell, rent, lease, lend, or otherwise transfer or make available the Services or any Radix IoT Content to any third party.
  • Remove, alter, or obscure any proprietary notices, labels, or markings on the Services or Radix IoT Content.
  • Use the Services or Radix IoT Content to build a competitive product or service, or to benchmark the Services for the purpose of publishing or disclosing results to third parties.

4. Disclaimer of Warranties

THE RADIX IOT WEBSITE AND ANY FREE OR TRIAL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. RADIX IOT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. RADIX IOT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

For paid Mango platform licenses, errProof subscriptions, and other commercial products, warranty terms are governed by the applicable Software License Agreement, Master Services Agreement, or other written agreement between you and Radix IoT. In the event of a conflict between these Terms and any such agreement, the terms of the signed agreement shall control with respect to the applicable paid product or service.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RADIX IOT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF RADIX IOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF RADIX IOT ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO RADIX IOT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD). THIS LIMITATION APPLIES TO ALL CLAIMS IN THE AGGREGATE AND DOES NOT LIMIT LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR ANY LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

6. Termination

Radix IoT reserves the right to suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including but not limited to a breach of these Terms. Radix IoT will make reasonable efforts to provide notice of termination when practicable, but is not obligated to do so.

You may terminate your use of the Services at any time by discontinuing access and, if applicable, closing your account. Upon termination by either party, your right to access and use the Services will cease immediately. Sections 3 (Intellectual Property), 4 (Disclaimer of Warranties), 5 (Limitation of Liability), and 8 (Governing Law) shall survive any termination or expiration of these Terms.

7. Modifications to Terms

Radix IoT reserves the right to update or modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide additional notice (such as a prominent notice on the Services or notification via email). Your continued use of the Services following the posting of revised Terms constitutes your acceptance of those changes. We encourage you to review these Terms periodically to stay informed of any updates.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the state or federal courts located in the State of Alabama, and you consent to the personal jurisdiction and venue of such courts.
